GFG Resources Consolidates Goldarm Property with Full Acquisition of WWCC

SASKATOON, Saskatchewan – GFG Resources Inc. has successfully completed its acquisition of a 100% interest in the 6,500-hectare WWCC Property, marking a significant expansion of its holdings in the renowned Timmins gold district of Ontario. The company announced the completion of its obligations under a definitive agreement with International Explorers and Prospectors Inc., subject to certain pre-existing encumbrances.

Strategic Consolidation in a Premier Gold District

The WWCC Property now forms an integral part of GFG's fully owned Goldarm Property, which spans over 15,000 hectares. This consolidated land package covers more than 30 kilometres of the prospective Pipestone and North Pipestone deformation zones. These geological structures are known for hosting multiple gold deposits and active mines, positioning the Goldarm Property within one of the world's most prolific gold-producing regions.

Brian Skanderbeg, President and CEO of GFG, emphasized the strategic importance of this consolidation. "The consolidation of the Goldarm Property, including WWCC, represents a significant milestone in advancing our vision to discover the next Timmins gold mine," he stated. "District-scale consolidation opportunities in a proven gold camp are rare, and we believe this underexplored region holds exceptional discovery potential."

Transaction Details and Royalty Arrangements

To fulfill the agreement, GFG issued a final share payment of 1,665,556 common shares to IEP, exceeding C$2.0 million in exploration expenditures and transferring C$400,000 in assessment credits. The common shares issued are subject to a statutory hold period expiring on August 10, 2026.

IEP will retain a net smelter royalty of up to 2% on certain claims within the property. GFG has the option to repurchase 1% of this royalty for C$1.0 million, providing flexibility in future financial arrangements.

Operational Advantages and Exploration Strategy

The Goldarm Property benefits from a strategic location along major structural corridors, with proximity to four mills and multiple producing gold mines. This positioning offers clear operational advantages for potential future development.

Over the past year, GFG has implemented an aggressive yet disciplined exploration approach at Goldarm, utilizing modern techniques including:

  • Sonic till sampling to penetrate glacial cover
  • Targeted drilling in previously underexplored areas
  • Integrated geological, structural, and geophysical analysis

2026 Exploration Program and Future Outlook

GFG is well financed to execute a robust, multi-pronged exploration program in 2026. The company's strategy focuses on advancing the Aljo Gold Project toward resource-scale definition while pursuing new discoveries across the broader Goldarm and Pen properties.

At the Goldarm Property specifically, GFG is nearing completion of a 90-hole sonic drilling campaign designed to collect base-of-till and top-of-bedrock samples along the Pipestone Fault corridor. This work establishes a foundation for a multi-year discovery pipeline and is complemented by targeted diamond drilling of high-priority anomalies.
