Aduro Clean Technologies Amends LIFE Offering Document

Aduro Clean Technologies Inc. (Nasdaq: ADUR) (TSX: ACT) (FSE: 9D5), a clean technology company specializing in transforming lower value feedstocks such as waste plastics, heavy bitumen, and renewable oils into valuable resources, has announced the filing of an amended and restated offering document for its LIFE Offering. This follows the completion of an underwritten public offering announced on June 11, 2026.

Details of the LIFE Offering

The non-brokered private placement involves up to 471,698 common shares at a price of $15.20 (C$21.20) per share, targeting gross proceeds of up to US$7,169,810 (C$9,999,734). The amended document was filed in accordance with applicable securities laws after the public offering closed.

The LIFE Offering is expected to close on or about June 19, 2026, subject to regulatory approvals and TSX policies. All other terms remain unchanged from the initial announcement on June 10, 2026.

Insider Participation and Regulatory Exemptions

The company anticipates that directors or officers may participate in the offering, though no commitments are in place. Any insider participation would be considered a related party transaction under MI 61-101. However, Aduro expects to rely on exemptions from formal valuation and minority shareholder approval, as the fair market value and consideration from insiders would not exceed 25% of the company's market capitalization.

TSX Approval and Legal Disclaimers

Aduro is relying on Section 602.1 of the TSX Company Manual for an exemption from certain standards for eligible interlisted issuers. The TSX has conditionally approved the LIFE Offering, with final approval pending customary conditions.
