Fancamp Exploration Acquires Iron Ore Royalty in Labrador Trough
VANCOUVER, British Columbia – Fancamp Exploration Ltd. (TSX Venture Exchange: FNC) has announced a significant acquisition of iron ore royalties in the mineral-rich Labrador Trough region. The corporation has acquired up to 3.0% net smelter returns (NSR) royalties on specific iron ore mineral properties located in the Schefferville area of Newfoundland and Labrador.
Royalty Acquisition Details
The royalty acquisition represents a strategic move for Fancamp, with the corporation paying $1,765,000 in total cash consideration to two arm's-length vendors. The most prominent mineral property covered by these royalties features an open pit mineable iron ore deposit situated approximately 25 kilometers northwest of Schefferville, Quebec.
This region is particularly valuable due to its established operational mines and supporting infrastructure, making it a prime location for mineral development. The Labrador Trough has long been recognized as one of Canada's most significant iron ore producing regions, with substantial existing mining operations and transportation networks.
Corporate Strategy and Spin-Out Plans
The royalty acquisition aligns with Fancamp's broader corporate strategy of pursuing high-growth opportunities while simultaneously reorganizing its asset portfolio. According to company statements, this transaction is expected to contribute to Fancamp's cash flow in the near term, complementing existing revenue streams that include quarterly interest payments from a $34.5 million secured convertible promissory note with The Canadian Chrome Company Inc. and dividends from 2.7 million Champion Iron Ltd. shares.
In parallel with this acquisition, Fancamp is advancing plans for a significant corporate reorganization. The corporation intends to transfer its interests in core exploration projects into a newly incorporated subsidiary called Goldera Exploration Ltd., with plans to spin out Goldera shares to Fancamp shareholders through a plan of arrangement under the Business Corporations Act (British Columbia).
"The purpose of the spin-out is to unlock shareholder value by creating two focused, publicly traded companies," explained company representatives. "This structure will give existing Fancamp shareholders direct participation in both growth streams while attracting new, targeted capital to Goldera's exploration portfolio."
Timeline and Approvals
The planned spin-out transaction is anticipated to be completed during the second quarter of 2026, pending receipt of all necessary approvals. These include court approval, shareholder consent, and stock exchange authorization. This corporate restructuring follows previous announcements made in February and December of 2025 regarding Fancamp's strategic reorganization.
Goldera's Exploration Portfolio
Goldera Exploration Ltd. will inherit a substantial exploration portfolio that includes the Acadian Gold Corp. joint venture entity and the Egan Gold mineral project as key discovery drivers. Acadian holds interests in two significant mineral properties: the McIntyre Brook mineral property (111 km²) and the Riley Brook mineral property (334.5 km²), together forming a consolidated 445 km² land package under joint venture with Gold Orogen Resources Corp.
This land position represents a substantial underexplored area within an emerging gold-copper district. Since 2024, systematic exploration activities including airborne geophysics, soil geochemistry, prospecting, trenching, and initial drilling have identified multiple targets across both properties.
Geological Context and Neighboring Projects
The McIntyre Brook property is strategically bordered by Puma Exploration's Williams Brook Project, which is under an option agreement with Kinross Gold. Geological analysis reveals that three mineralized trends identified by Puma extend onto or across portions of McIntyre Brook:
- The Lynx Gold Zone extends throughout Puma's Cheetah zone and across the northwest part of McIntyre Brook
- The Ramsey Gold Zone extends northeastward through the Moose Brook prospect area of McIntyre Brook, potentially continuing 6 kilometers or more through the McIntyre Brook prospect area
- The Panthera Zone, defined from soils and rock sampling, extends southward to the northern McIntyre Brook property line
To date, only a silicified and brecciated felsic horizon at the McIntyre Brook prospect area has undergone detailed exploration, with prospecting and soil sampling conducted elsewhere on the property. This suggests substantial untapped potential for further mineral discovery and development across the extensive land package.
The combined royalty acquisition and corporate restructuring initiatives position Fancamp Exploration Ltd. to capitalize on both immediate revenue opportunities through iron ore royalties and long-term growth potential through focused exploration activities under the Goldera subsidiary structure.
